Reseller / Affiliate Program Terms
Effective September 23, 2026
These Reseller / Affiliate Program Terms (“Terms”) form an agreement between you (“Reseller,” “Affiliate,” or “you”) and Picckles (“Picckles,” “we,” or “us”), governing your participation in the Picckles Reseller Program (the “Program”). By clicking “Become a reseller,” generating a referral link or code, or otherwise participating in the Program, you agree to these Terms. If you do not agree, do not enroll in or use the Program.
The Program is separate from, and in addition to, any Terms of Service or subscription agreement governing your own use of Picckles as a customer.
1. The Program
Picckles is an affiliate program, not a reseller-of-record or white-label arrangement. Picckles always contracts with, bills, and provides the product directly to the customers you refer. You do not sell, invoice, or take payment from referred customers on Picckles’ behalf, do not have authority to bind Picckles to any obligation, and do not act as Picckles’ agent for any purpose. Your role is limited to referring prospective customers to Picckles using the tools described below.
2. Eligibility & Enrollment
You must hold an active Picckles account in good standing to enroll. Enrollment issues you a unique referral code and link. We may decline or revoke enrollment at our discretion, including where we believe enrollment would violate these Terms, applicable law, or pose a fraud risk.
3. Referral Attribution
A new customer is credited to your account as your referral when either:
- they sign up using your personal link (
picckles.com/?ref=YOURCODE); or - they visit via your link and complete sign-up within 30 days, tracked by a browser cookie, without a different referral code taking precedence.
Attribution is set once, at account creation, and is permanentfor the life of that customer’s account — it is not re-assigned by later visits, other referral links, or marketing the customer may separately encounter. If a code is invalid, inactive, or not recognized, the sign-up simply proceeds as unreferred; a bad or missing code never blocks account creation.
4. Commission
You earn a recurring commission (shown in your dashboard, 25% by default) of the net, pre-tax subscription revenue Picckles actually collects from each customer credited to you under Section 3, for as long as that customer remains subscribed. Commission is calculated per successful subscription payment, not on one-time fees, taxes, failed or refunded charges, or on products or services outside the subscription itself. We may change the commission percentage applicable to new referrals or new payment periods on notice as described in Section 11; a rate change is not applied retroactively to commissions already earned.
5. Getting Paid
Commissions are paid automaticallythrough Stripe Connect: when a referred customer’s payment clears, Stripe splits and transfers your commission directly to your connected Stripe account in the same transaction. You must complete Stripe’s onboarding and have payouts enabled before your referral link is issued and before any commission can be paid — referrals made before payouts are enabled do not generate a commission. Picckles never holds your commission balance or issues manual payouts unless we tell you otherwise in writing; Stripe, not Picckles, is responsible for the mechanics and timing of the transfer to your bank account once it lands in your connected account, and Stripe’s own terms and identity/KYC requirements apply to your connected account.
6. Refunds, Chargebacks & Reversals
If a payment underlying a paid commission is later refunded, charged back, disputed, or reversed for any reason — including fraud — we may deduct, offset, or claw back the corresponding commission from future payments to you, or invoice you directly for it if no future payments are available to offset against. You are responsible for cooperating in good faith with any such reversal.
7. Your Conduct
You agree not to:
- refer yourself, your own accounts, or accounts you control, or otherwise create referrals designed to generate commission without a genuine independent customer;
- engage in spam, unsolicited bulk messaging, or misleading advertising to generate referrals;
- bid on “Picckles” or confusingly similar terms in paid search, or register domains confusingly similar to Picckles’;
- make false, exaggerated, or unsubstantiated claims about Picckles, its performance, or likely results, or guarantee any specific return or outcome to a prospective customer;
- disclose or describe details of Picckles’ trading strategies that are not already published on picckles.com — you may repeat, quote, and link to what the public site and track record state, but anything you learn privately, including through correspondence with us, stays private;
- quote any performance figure without making clear, as picckles.com does, whether it is backtested or live — or present any figure as typical, expected, or indicative of future results. What counts as published is what picckles.com stated at the time you posted it;
- fail to clearly and conspicuously disclose your financial relationship with Picckles (that you earn a commission) in every place you promote your referral link or code, as required by the FTC and other applicable advertising-disclosure laws in your jurisdiction; or
- use Picckles’ name, logo, or brand assets other than as expressly permitted in writing, or in any way that implies Picckles endorses content it has not approved.
A violation of this section is grounds for immediate suspension or termination under Section 9, and for withholding or reversing commission associated with the violating referral(s).
8. Independent Contractor
You participate in the Program as an independent contractor, not as an employee, joint venturer, or partner of Picckles. You are solely responsible for any taxes owed on commission you earn, and for providing any tax documentation (e.g., a completed Form W-9 or equivalent) we reasonably request to comply with our own reporting obligations. Nothing in these Terms creates an exclusive relationship — you are free to promote other products, and we are free to run similar programs with others.
9. Term & Termination
These Terms remain in effect until terminated. You may stop participating at any time by ceasing to promote your link. We may suspend or terminate your participation, or the Program itself, at any time, with or without cause and with or without notice — including immediately, for a violation of Section 7. Upon termination, your referral link and code are deactivated and no further commission accrues on any payment made after the termination date, regardless of when that customer was originally referred. Commission already earned and payable for payments that cleared before termination remains payable, subject to Section 6.
10. No Guarantee of Earnings
The Program is not an investment, and participating in it does not guarantee any level of referrals, conversions, or income. Results depend on factors outside Picckles’ control, including how and where you promote your link.
11. Changes to These Terms
We may update these Terms or the Program (including the default commission percentage for new referrals) from time to time. Material changes will be posted on this page with an updated effective date; where required by law we will provide additional notice. Continued participation in the Program after a change takes effect constitutes acceptance of the updated Terms.
12. Disclaimers & Limitation of Liability
THE PROGRAM AND ANY RELATED TOOLS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PICCKLES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR PARTICIPATION IN THE PROGRAM, AND PICCKLES’ TOTAL LIABILITY TO YOU UNDER THESE TERMS WILL NOT EXCEED THE COMMISSION PAID TO YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold Picckles harmless from any claim, loss, or expense (including reasonable attorneys’ fees) arising from your breach of these Terms, your promotional content, or your violation of applicable law.
14. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to their conflict-of-laws rules. You and Picckles submit to the exclusive jurisdiction of the courts of the Province of Ontario for any dispute arising out of or relating to these Terms or the Program, and each of us waives any objection to venue in those courts.
15. General
These Terms, together with any policies referenced in them, are the entire agreement between you and Picckles regarding the Program. If any provision is found unenforceable, the remaining provisions stay in effect. You may not assign your participation in the Program without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of it.
